What Happened?
Bullish (BLSH) stock is ticked higher yesterday after what looks like a major growth move. The crypto exchange announced it will acquire Equiniti, a global transfer agent, in a $4.2 billion deal. The goal is to become the dominant platform for tokenized securities.
So what is Equiniti?
- It manages shareholder records for nearly 3,000 large public companies.
- It processes around $500 billion in payments every year.
- It also has over 20 million verified shareholders on its books.
- These are the kinds of relationships that take decades to build.
Bullish wants to combine all of that with its own blockchain technology. The vision is to enable companies to tokenize their shares, trade them on regulated venues, and manage everything from a single platform.
CEO Tom Farley compared it to the shift from paper-based trading to electronic markets. He’s been in that room before, as a former President of the New York Board of Trade and later the New York Stock Exchange.
The deal structure is a mix of debt and equity.
- Bullish is assuming $1.85 billion of Equiniti’s existing debt and issuing $2.35 billion in new shares.
- Combined, the two businesses are expected to generate about $1.3 billion in 2026 revenue and around $500 million in EBITDA less CapEx.
The acquisition is expected to close in January 2027, pending regulatory approvals.
Coinbase stock, by comparison, has faced its own pressures this year as the broader crypto market pulled back.
But deals like this one from Bullish signal that crypto exchanges are pushing hard into institutional and traditional finance territory, a trend that could eventually benefit Coinbase stock and peers as well.
