AMC CEO Threatens Legal Action Against Robinhood Over Unregistered Stock Tokens

What Happened?

AMC Entertainment (AMC) stock jumped nearly 20% in early premarket trading on Friday after CEO Adam Aron publicly criticized Robinhood over its stock tokens tied to AMC shares. Robinhood shares fell more than 1% on the same news.

Aron didn’t hold back. In a post on X, he called the practice “contemptible, outrageous, disgusting, detestable, inexcusable, vile,” and questioned how it could even be legal.

He made clear AMC has no connection to these tokens and doesn’t support them in any way.

So what exactly are stock tokens? They’re digital representations on a blockchain that track a stock’s price and give holders economic exposure to that stock, without actual ownership.

Robinhood’s version runs on its own Robinhood Chain and lets users worldwide get exposure to U.S. stocks and ETFs at any hour.

The company started with private company shares like OpenAI and SpaceX back in June 2025, then expanded globally to more than 120 countries when Robinhood Chain went fully live on July 1, 2026.

When Robinhood CEO Vlad Tenev asked Aron directly what his concerns were, Aron responded that the list was “almost existential.”

His main point: these tokens are unregistered securities that can’t legally be offered or sold in the U.S., and they’re also restricted in Canada, the U.K., and Switzerland.

Since they’re issued by an offshore entity, Robinhood Assets (Jersey) Limited, Aron argued this creates a “fictitious” synthetic market that separates token ownership from AMC’s actual ability to control its own capital-raising decisions.

Aron also pointed out that AMC has relied on real equity issuances to strengthen its balance sheet over the years, something he called vital to the company’s success.

He argued Robinhood’s tokens only pretend to represent ownership while stripping investors of real shareholder rights.

He publicly called on Robinhood to voluntarily stop trading AMC stock tokens, warning that AMC’s securities counsel is already looking into whether legal action could force a halt.

Other industry voices joined the debate.

Securitize CEO Carlos Domingo sided with Aron, noting that AMC’s tokenized stock was reportedly trading at 60 times the actual AMC Entertainment stock price, and said tokenization was supposed to improve markets, not distort them.

LitXchange co-founder Marcel Kalinovic also weighed in critically, accusing Robinhood of operating in legal gray areas.
