What Happened?
IonQ (IONQ) said on Monday it will buy cybersecurity company Elisity. The all-stock deal is worth up to $1.3 billion, which includes up to $150 million in performance-based earnouts.
IonQ stock fell more than 9% in afternoon trading, while Rigetti and D-Wave also traded lower.
The deal is meant to defend against attackers targeting AI models and AI agents. It also aims to guard against future quantum threats.
Elisity will keep its current leaders, including CEO James Winebrenner. The deal is expected to close in Q4, pending regulatory approval.
CEO Niccolo de Masi told CNBC the deal will strengthen IonQ’s quantum security plan. He pointed to “Q-Day,” when quantum computers could break today’s standard encryption.
“Frankly, people are not ready,” he said.

This is another step in a buying spree. IonQ bought SkyWater Technology for $1.8 billion in July. It also bought Oxford Ionics.
The deal follows two June executive orders on quantum computing and cyber protection.

What the Market Is Telling Us About IonQ Stock
The drop suggests investors are wary of another big deal paid for in stock. Issuing shares can dilute current holders. IonQ stock has also surged in recent months, so some selling isn’t surprising.
The business itself is growing fast. In Q2, revenue was $80.1 million, up 287% from last year. Organic revenue grew 132%.
IonQ raised its 2026 revenue guidance to $280 million-$290 million. That figure covers IonQ only, not SkyWater.
Backlog is also rising. Remaining performance obligations were $485 million, up from $122 million a year ago.
On the August call, management said security is now part of most customer talks. About 25% of revenue came from customers buying more than one product.

But losses are large. Adjusted EBITDA was-$120.3 million last quarter. Operating expenses were $417.3 million on a GAAP basis.
Management also said it needs time to give combined guidance with SkyWater.
So the picture is mixed. Security fits IonQ’s plan, and demand looks strong. But costs are high, and deals keep coming.
IonQ stock may stay volatile until investors see how these pieces fit together.
