Key Takeaways

  • Dollar General shares fell about 4% on Monday after the FTC and 20 states sued the chain for charging shoppers more at the register than its shelf, tag and ad prices.
  • Dollar General says the FTC demanded a payment far larger than any realistic estimate of the overcharges, and it plans to fight the case.
  • Seven past pricing settlements totaled about $6.76 million, roughly 0.31% of last year’s operating profit. This suit’s price tag is still unknown.
  • At 17x forward earnings before the drop, the stock was already priced for a margin recovery.

Dollar General (DG) shares fell about 4% on Monday after the Federal Trade Commission and 20 states sued the discount chain. They allege it routinely charged shoppers more at the register than the prices on its shelves, price tags and ads.

For a chain whose whole pitch is low prices, that’s about as bad an allegation as it gets.

What the FTC Says

The complaint says the overcharges ran from January 2019 through March 2026 and cost shoppers millions of dollars. Between January 2023 and March 2026 alone, Dollar General logged 29,265 customer complaints it labeled “Did Not Honor Marked Price.”

Christopher Mufarrige, director of the FTC’s Bureau of Consumer Protection, said the company “betrayed the trust of millions of American consumers” and harmed communities “already struggling to make their paychecks last.”

Dollar General’s Bill Is the Big Unknown

Since 2019, Dollar General has settled seven pricing cases with six states for about $6.76 million combined, according to the complaint. That’s roughly 0.31% of last fiscal year’s $2.2 billion operating profit.

This case could cost more. In a statement on Monday, Dollar General said FTC staff demanded a payment “orders of magnitude larger” than any realistic estimate of the overcharges, and that it will fight the suit. The FTC and states want a monetary judgment and civil penalties, and some state laws charge per violation (Florida’s allows up to $10,000 for each willful one).

Little Room for a Hit

Households earning $35,000 or less bring in 60% of Dollar General’s revenue, the complaint says. They’re the shoppers who notice when an item rings up high.

The business has less cushion now. Its reported operating margin fell from 10.5% in the year ended January 2021 to 4.2% in the year ended January 2025 (4.8% before $232 million of store-closing charges, as charted below):

Operating profit has since climbed 28.6%, and investors are paying for more. At Friday’s close the stock traded at 17x forward earnings, a bit below its five-year average of 18x but well above its January 2025 low of 12x:

What Dollar General Still Hasn’t Disclosed

Nobody has published the number that matters: how much the FTC wants. If it lands near past settlements, Monday’s drop looks overdone. If it’s anywhere near what the company says was demanded, it cuts into the margin rebuild that 17x assumes. Until that figure shows up in a filing or a settlement, I wouldn’t buy the dip.
