What Happened?
Akamai Technologies (AKAM) stock dropped almost 4% in after-hours trading on Monday after the company announced plans to raise $2.6 billion through convertible notes.
- The offering consists of two separate tranches — $1.3 billion in notes due 2030 and another $1.3 billion due 2032.
- Initial purchasers also have the option to buy up to an additional $200 million in each tranche.
- Both sets of notes carry a 0% interest rate, meaning Akamai pays no regular interest to holders.
- Instead, investors bet on the stock rising above a set conversion price before maturity.
So where is the money going?
- Akamai says the bulk of the proceeds will fund its Cloud Infrastructure Services (CIS) build-out.
- The company is racing to expand its global GPU and compute network after landing a landmark $1.8 billion, seven-year deal with a leading AI company, announced just days earlier on its Q1 earnings call.
- Management wants to move fast, and that costs money.

Akamai also plans to use $350 million of the proceeds to buy back shares from note purchasers.
On top of that, it will enter into convertible note hedge transactions designed to reduce potential dilution to existing shareholders.
