What Happened?

CleanSpark (CLSK) got a new Buy rating on October 22. Canaccord Genuity started coverage with a $20 target, saying its fully financed Sandersville lease with an investment-grade tenant sets up repeat deals. That tenant is a Meta Platforms (META) subsidiary. The same day, the cost of insuring Meta’s debt hit a record, and CleanSpark fell 6.86% to $8.15. It closed at $7.88 on October 23, down 38.8% from its September 30 close of $12.88. Most of that came first: shares were already down 32% by October 21 as bitcoin and AI data center stocks sold off, before Meta reported.

Meta’s Spending Is Both the Demand and the Risk

Meta released third-quarter results after the close on October 21. It narrowed its 2026 capex range to $135 billion to $145 billion from $130 billion to $145 billion, and reported negative free cash flow of $2.12 billion on $34.91 billion of quarterly capex. Shares rose after hours, then fell 6.98% on October 22 as investors focused on a filing that put its future lease and contract commitments at about $825 billion, up from about $700 billion in July. Meta’s five-year credit default swaps, which price insurance against a default, hit a record 114.79 basis points that day, according to Markit data cited by Reuters. Benzinga noted Meta is not close to default; the jump shows investors paying more to insure its debt.

CleanSpark did not take the worst of it. Its 6.86% drop was smaller than the 8.37% fall at IREN (IREN) and the 8.87% fall at Cipher Digital (CIFR), as the Nasdaq lost 2.6% amid broader worry about AI financing. Investors did not single it out as Meta’s landlord.

The link is still direct. CleanSpark’s September investor presentation names Meta as guarantor of rent and operating expenses at Sandersville. On the August 6 call, CEO and Chairman Matt Schultz said up to 885 MW in Texas sat under exclusivity with the same counterparty, and that the Texas talks build on the Sandersville terms.

The Next Financing Carries the Meta Question

Sandersville’s notes carry a fixed coupon, so the October repricing does not change that bill. It matters for the next one. A Texas lease with the same tenant would likely be financed largely on that tenant’s credit, as Sandersville was, and ERCOT does not plan to finish its audit of Texas data center projects until December 10.

On the August call, President and CFO Gary Vecchiarelli pointed to roughly $115 billion of demand for Alphabet’s $25 billion bond deal and said, “while spreads have widened in recent months, we’ve seen those hyperscaler bonds bid tightened up to 25 bps just in the last week.” On October 22, the cost of insuring Meta’s debt set a record.

Schultz argued demand still favors landlords, saying CleanSpark was “seeing terms that continue to improve” and that it would rerun a market process if the counterparty walked away. Meta raising the floor of its capex range supports that view. Its credit market is the part pushing back.

Analysts have not walked away. TIKR shows 15 targets, all Buy or Outperform, with a mean of about $23. Canaccord’s $20 sits below that mean, and Cantor Fitzgerald cut its target to $19 from $26 on October 16, citing rising rates, capex overruns, and opposition to data centers. TIKR’s Street low is also $19.

Watch Meta’s Swaps and the Texas Lease

The deciding signal is whether a Texas lease gets signed while Meta’s credit default swaps sit near their October 22 record of 114.79 basis points. A signed lease financed on terms close to Sandersville’s would show Meta’s credit still opens the same doors. Swaps climbing further with no lease would mean the cost of the AI build has reached the landlord. CleanSpark had not announced its fiscal fourth-quarter report date as of October 26; last year’s came November 25.
