What Happened?
MARA Holdings (MARA) stock dropped after JPMorgan cut its rating on the Bitcoin mining company from Neutral all the way to Underweight, a double downgrade.
The bank also lowered its price target to $11 from $13, and pushed the target horizon out to December 2027.
A big part of JPMorgan’s concern centers on MARA’s joint venture with Starwood Digital Ventures.
Under that arrangement, MARA brings the powered land sites to the table, while Starwood handles design, development, tenant sourcing, and operations.
JPMorgan pointed out that this setup means MARA captures only half of the value the venture creates, and that split played a real role in the bank’s more cautious view of the risk-reward balance for MARA Holdings stock going forward.
Timing matters here too.
This downgrade comes right after a rough Q2.
- MARA reported revenue of about $174.9 million, well below the roughly $209 million analysts were expecting.
- The company also posted a loss of $1.60 per share, a sharp reversal from the $1.84 per share in earnings it reported during the same period last year.
- A fair-value loss on the company’s digital asset holdings, meaning the value of its Bitcoin holdings dropped, was one of the main factors dragging those results down.
Put together, weaker-than-expected earnings plus a fresh downgrade from a major bank is a tough combination, and it’s clearly weighing on MARA Holdings stock today.
It’s also worth noting the stock isn’t trading anywhere near its highs.
MARA remains well below its 52-week high of $23.45, though it’s still comfortably above its 52-week low of $6.66.
Interestingly, JPMorgan’s new $11 target sits almost right at today’s pre-market price, suggesting the bank sees the stock as fairly valued at current levels rather than significantly overpriced.

The broader market didn’t do MARA any favors either.
Today’s decline came during a weak session across U.S. equities generally, with the Nasdaq Composite down 1.7% and the S&P 500 off 0.8%.
Other Bitcoin mining companies, including Riot Platforms, CleanSpark, and Hut 8, face similar exposure to cryptocurrency price swings, mining costs, and the cost of raising capital, so the whole sector tends to move together on days like this.

What the Market Is Telling Us About MARA Holdings Stock
Today’s reaction in MARA Holdings stock shows investors are taking JPMorgan’s concerns seriously, particularly questions about how much value MARA actually keeps from its own powered land assets once Starwood takes its share under the joint venture structure.
Combined with a revenue miss and a swing to a loss last quarter, the market seems to be recalibrating how it values MARA’s pivot from pure Bitcoin mining toward AI data center infrastructure.

Whether that recalibration proves to be an overreaction or a fair reset likely depends on how quickly MARA can convert its expanding power portfolio into signed leases and actual cash flow in the months ahead.
