What Happened?
Baldwin Insurance (BWIN) stock jumped almost 8% after the company announced it’s being taken private in a $7.7 billion all-cash deal.
An entity formed by Sequence Holdings and DFO Management, Michael Dell’s family office, agreed to buy Baldwin for $32.50 per share.
That price is a huge jump from where the stock was trading before deal talk started. It represents an 88% premium over Baldwin’s closing price on June 17, 2026, the day before media reports first surfaced that the company was exploring a take-private sale.
With shares now trading around $32, Baldwin Insurance stock is near both its deal price and its 52-week high of $32.59, suggesting the market is largely pricing in a deal.
Breaking down the numbers, the $7.7 billion enterprise value includes about $4.6 billion in equity and $3.1 billion in net debt.
When you factor in Baldwin’s CAC acquisition that closed earlier in 2026, the deal works out to roughly 17 times trailing adjusted EBITDA.
For context, Baldwin generated $1.74 billion in revenue over the past twelve months along with $116.6 million in EBITDA.
The deal already has strong backing. Baldwin’s board approved it unanimously.
On top of that, a group of Class B shareholders led by Chair Lowry Baldwin, holding roughly 14% of voting power as of April 6, has already signed off with a written consent.
That kind of early insider support usually signals a deal is likely to close.
Speaking of closing, the transaction is expected to wrap up in Q1 2027, pending a shareholder vote and regulatory sign-off.
The agreement includes a no-shop clause, meaning Baldwin can’t go looking for other buyers, along with termination fees if either side walks away: $170 million if Baldwin backs out, or $276 million if Sequence does.
One notable reaction to the news: William Blair downgraded Baldwin Insurance from Outperform to Market Perform following the announcement.
That’s a fairly typical move when a stock is acquired near its ceiling price, since there’s limited additional upside once a deal price is locked in.

This follows Baldwin’s Q2 2026 results, where the company beat earnings expectations with adjusted EPS of $0.48 versus the $0.47 analysts expected.
Revenue, however, came in just short at $492.9 million against estimates of $494.83 million, and Baldwin also lowered its full-year organic growth outlook, which had pressured the stock before this buyout news came through.
