Key Takeaways
- Guidewire shares fell 6.6% after it agreed to buy London-based hyperexponential for $1.7 billion in cash, plus up to $400 million in earnouts.
- The price is steep. But the deal moves Guidewire into AI-driven underwriting, a market it sizes at about $30 billion, and that growth looks worth borrowing for.
- Guidewire is paying with a new $1.0 billion term loan and cash on hand, which more than doubles its debt but still leaves about $500 million of cash and investments.
- Guidewire will update its fiscal 2027 guidance on its December earnings call. That will be the first real look at what the deal adds.
Guidewire Software (GWRE) stock fell 6.6% today. Before the open, the company agreed to buy London-based underwriting-software maker hyperexponential (hx) for $1.7 billion in cash.
In its announcement, Guidewire says the deal sets it up to lead “agentic underwriting,” where AI agents assess risk, price it and make decisions alongside human underwriters. Insurers including Allianz, Aviva and Markel already use hx’s software on more than $75 billion a year of commercial premiums.
What Guidewire Is Paying For
Guidewire could pay up to $400 million more if hx hits recurring-revenue targets after the deal closes. It expects to close by Jan. 31, 2027.
It expects hx to add at least 650 basis points to its fiscal 2027 ARR growth, on top of the 17% to 18% it had already guided for. From fiscal 2028, the deal should lift organic ARR growth by at least 150 basis points.
Guidewire didn’t disclose hx’s current ARR. But its forecast of at least 650 basis points of extra fiscal 2027 growth, on the $1.24 billion of ARR it ended fiscal 2026 with, implies hx adds roughly $80 million or more by the end of that year. By my math, that puts the $1.7 billion base price at about 21x that projected ARR or less, and about 26x or less if the full earnout pays.
Not cheap.
Borrowing to Buy Growth
Guidewire is paying with a new $1.0 billion term loan and cash on hand. Its cash and short-term investments have topped its debt at the end of every fiscal year since 2022:

Add the new loan, and debt more than doubles to about $1.7 billion. Guidewire ended July with $1.22 billion of cash and investments, counting longer-term holdings the chart leaves out, so the cash part of the price would leave it with roughly $500 million.

Guidewire’s Growth on Top of Growth
Guidewire wasn’t short on growth before this deal, either. Analysts expect revenue to climb from $1.48 billion in fiscal 2026 to $1.99 billion in fiscal 2028:

Those estimates don’t include hx yet, so expect them to rise.
Customers are already headed this way. In Guidewire’s fiscal 2026 report in September, CEO Mike Rosenbaum said they were “expanding with new pricing and AI focused products.” Guidewire sizes agentic underwriting as a roughly $30 billion market.
A Steep Price for the Right Business
Guidewire is paying a lot, but it’s buying into the decision insurers make their money on: which risks to write, and at what price. With about $500 million still in the bank afterward, I think that’s worth borrowing for.
The price only works if hx hits its numbers, though. The first real look comes on Guidewire’s December earnings call, when it updates its fiscal 2027 guidance.
