What Happened?

Fermi (FRMI) stock dropped sharply on Friday, falling more than 15% as investors reacted to a series of unsettling headlines tied to the company’s financing decisions.

The trouble started when Fermi priced an upsized $375 million private offering of 5% convertible senior notes due 2031. That deal quickly grew even larger, closing at $431.25 million after initial purchasers exercised their full option to buy additional notes.

Fermi stock fell 16% on that news alone, as investors worried about dilution from the conversion feature built into the notes.

Convertible notes work a bit like a hybrid between debt and stock. Fermi stock now carries real interest expense from the 5% coupon through 2031, but there’s also an overhang from the conversion option, meaning those notes could eventually turn into new shares.

For a company that’s already burning significant cash, that combination makes investors nervous about how much dilution might be coming down the road.

Then came a second hit. A co-founder disclosed that a board director’s resignation was tied to a governance dispute over that same $375 million note deal, specifically that board members reportedly weren’t informed of the deal before it was publicly announced. Fermi stock fell another 4.9% on that disclosure.

Governance surprises like this tend to make investors worry about internal friction and the possibility of more unexpected news ahead.

It’s worth noting this isn’t the first time a convertible notes announcement has hit the stock. Fermi had initially planned a smaller $350 million offering, and that announcement alone triggered a 12% drop in after-hours trading before the deal was later upsized.

Separately, Mizuho lowered its price target on Fermi to $11 from $27, while maintaining an Outperform rating.

The firm’s new target assumes a delayed pace of tenant signings, with only 1 gigawatt of leasing generating revenue through 2028, along with higher capital expenditures tied to tenant turnkey requirements.

Mizuho’s bull case sits at $17, assuming faster tenant signings, while its bear case of $4 reflects a more conservative valuation based on property and land value alone given ongoing execution risk.

On a separate governance note, former CEO Toby Neugebauer suspended his proxy campaign for a special shareholder meeting after Institutional Shareholder Services recommended against it.
