What Happened?
Workday (WDAY) stock had its best day since 2016 after a Reuters report said private equity firm Silver Lake is in talks to buy the human resources software company. Shares were halted multiple times in late afternoon trading as the news spread, and Workday stock closed the day with a market value of nearly $51 billion.
According to Reuters, citing people familiar with the matter, the discussions between Workday and Silver Lake have actually been going on for months. Neither Workday nor Silver Lake responded right away to requests for comment.
The timing is notable. Workday stock has been under pressure recently as investors worried that AI tools could disrupt the traditional software business model. Software companies broadly have taken a hit on these fears.
A buyout in this space would suggest private equity still sees real value in software companies, even with AI reshaping the industry. Despite today’s jump, Workday stock is still down 8% year over year. The stock has been recovering from a recent selloff, and this deal talk adds a new layer to that recovery story.

There’s also a leadership connection worth noting. Workday co-founder Aneel Bhusri was named CEO again in March after Carl Eschenbach stepped down.
Bhusri has held several leadership roles at Workday over the years, including stints as CEO and co-CEO. Analyst Brent Thill pointed out that Bhusri and Silver Lake’s Egon Durban know each other well through various connections, which he said makes a deal plausible given how hard software stocks have been hit lately.
The news also follows Workday’s strong earnings report in May. The company posted better-than-expected results and raised its forecast, citing AI as a tailwind rather than a threat.

What the Market Is Telling Us About Workday Stock
The scale of today’s move, Workday stock’s best single day in nearly a decade, shows just how much upside investors see in a potential buyout. Multiple trading halts suggest the market needed time to digest the news and reprice the stock accordingly.
This also signals something bigger than just one company. If a major private equity firm is willing to make a serious bid for a software company amid AI disruption fears, it could mean that fear has been overdone, at least for companies with strong underlying fundamentals.
Workday’s recent earnings beat and improved outlook may have made the company an attractive target right now.

For now, nothing is confirmed.
These are still reported talks, not an announced deal.
But the market’s reaction shows investors are taking the possibility seriously, and Workday stock could remain volatile as more details emerge.
