What Happened?

Uber Technologies (UBER) closed at $66.70 on October 23, 2026, down 3.43% on the day and 18.4% for the year. Late that session, The Information reported that Instacart (CART) is exploring a sale and had held early talks with Uber and DoorDash (DASH). Instacart closed up 9.2%. Bloomberg then reported that Uber walked away and the two sides are no longer in discussions, citing one person familiar with the matter.

DoorDash fell 3.5% as well, and Uber was already about 2% lower by mid-morning, before the report. The more useful question is why Uber would pass on Instacart when its own CEO describes grocery as the business that could outgrow food delivery.

Uber’s CEO Named the Gaps Instacart Could Fill

At the Goldman Sachs Communacopia + Technology Conference on September 10, CEO Dara Khosrowshahi said “ultimately, we think grocery and retail can be bigger than our core online food delivery business.” He also said the selection, quality, and reliability of that product “are very, very early in its development,” and that Uber is still developing a supply base “that is trained on shopping and not just delivering.” Those are the gaps a grocery specialist could fill.

Uber has not said why it stepped back. Reports on the talks flagged antitrust scrutiny as a hurdle, since both companies run grocery delivery, and The Information said Uber’s recent deal spree could complicate a bid. Uber’s $14.8 billion offer for Delivery Hero has an acceptance window that closes November 5, and on October 6 Uber agreed to buy catering platform ezCater for $2.3 billion in cash. Khosrowshahi has also said on-demand retail is not “going to be a winner take all,” with Walmart and Amazon moving in.

The Bloomberg account rests on one source, and The Information said the talks may not produce a deal. Instacart declined to comment, and Uber did not immediately respond.

Business Model Changes Cut 8 Points From Revenue Growth

In the second quarter, reported August 5, Uber’s gross bookings rose 22% in constant currency to $58.0 billion, but revenue rose only 12% to $14.2 billion. Uber said business model changes cut revenue growth by 8 percentage points. The gap was widest in Mobility, where revenue rose 1% while bookings rose 22% on a reported basis.

Uber Revenue & YoY (TIKR)

The gap carries into the third quarter. Uber guided bookings growth of 18% to 22% in constant currency, yet consensus implies revenue growth of about 9%, to around $14.7 billion. Shares fell 5.29% on August 5, when an adjusted EPS beat came alongside a 0.52% revenue miss. Investors now pay about 17 times forward earnings, down from about 20 at the end of 2025, for a forward levered free cash flow yield near 9%.

Uber Advanced Valuation Model (TIKR)

The mid case points to around $189 by December 31, 2030, roughly 4.2 years out. Its inputs, set over 2025 to 2035, assume revenue grows around 11% a year and net income margins reach near 15%. Delivery, where second-quarter revenue grew 28%, would need to lead that growth, with grocery and retail as the newer engine.

The main risk is that Uber builds grocery more slowly than Walmart and Amazon, the rivals Khosrowshahi named, without buying a shopper network. Upside comes if bookings growth near 20% starts showing up in revenue. Downside comes if bookings growth slows, making 11% annual revenue growth harder to reach.

Conclusion

Uber reports third-quarter results on November 4, with its call at 8 a.m. ET. Bookings at or above the $59.25 billion guidance midpoint, with Delivery near the second quarter’s 25% constant-currency pace, would support building over buying. Bookings near the $58.25 billion low end would make passing on Instacart look costlier. Delivery Hero’s acceptance window closes November 5.
