What Happened?

Smith & Nephew held merger talks with Johnson & Johnson (JNJ) to combine with J&J’s orthopedics division.

The Financial Times reported that the talks collapsed over who would run the new company

Talks were reportedly at an advanced stage, and both sides had agreed on the main financial terms and the deal structure. A mid-October announcement was in sight.

Then the talks fell apart. J&J wanted Namal Nawana to lead the merged business, who currently runs J&J’s orthopedics unit. He also led Smith & Nephew for 18 months before leaving as CEO in 2019.

Smith & Nephew wanted its current CEO, Deepak Nath, to stay in charge.

JNJ Stock Revenue, EBIT and Free Cash Flow Estimates in Billion USD (TIKR)

Smith & Nephew had approached J&J earlier this year, and its offer valued J&J’s hip and knee unit at up to $22 billion.

That is almost double Smith & Nephew’s own market value. J&J shareholders would have owned 50.1% of the combined company.

Both companies declined to comment.

What the Market Is Telling Us About Johnson & Johnson Stock

The report is unlikely to move Johnson And Johnson stock much by itself. A Mergermarket analyst said it would not be surprising if the two sides returned to the table.

J&J already has a backup plan and announced last October that it would split off orthopedics as a standalone company called DePuy Synthes.

On its Q3 call, J&J said it is leaning toward a spin-off and is targeting mid-2027 for the separation. A CFO also said the business is performing well.

J&J’s Q3 sales were $25.4 billion, up 6%. Innovative Medicine sales grew 7.9%, MedTech grew only 2.5%, and management said that fell short of expectations.

J&J raised its 2026 sales guidance and now expects growth of 6.7% to 7.1%.

JNJ Stock Street Target (TIKR)

For Johnson And Johnson stock, the open question is how orthopaedics leaves the company.

Reuters says the unit reportedly sought around $20 billion and drew private equity interest. No deal has been reached. Johnson And Johnson stock may stay sensitive to updates on the separation.

J&J will share more at its Enterprise Business Review on December 8. Investors in Johnson And Johnson stock may want to watch that event.
