Cloudflare (NET) delivered a strong quarter, yet the stock dipped anyway. Revenue surged 36% year over year to $696.1 million, beating the $665.5 million estimate. Adjusted EPS reached $0.29 against a $0.27 consensus. Management responded by raising full-year revenue guidance to $2.864 billion to $2.870 billion.

A few days after earnings, Cloudflare announced a private offering of $2.175 billion in convertible senior notes due 2031. The notes carry 0% interest, so there’s no ongoing cash cost. But they come with a conversion price near $497 per share, a 60% premium to the recent trading price. Investors reacted to the potential dilution more than the structure itself.
There was good news in the same stretch. Cloudflare for Government won FedRAMP Class D High certification on August 10. That clears the path toward Department of Defense Impact Level 4 authorization down the line, opening a meaningfully larger federal market.

The convertible notes add a wrinkle. Because the 0% coupon means no cash drag, dilution only becomes a real concern if the stock more than doubles, which bulls are already underwriting. Fastly posted 23% revenue growth last quarter to $183.3 million, with security revenue up 47%. Akamai’s overall growth sits closer to 5% annually as its legacy delivery business shrinks even while security and cloud segments expand.

Akamai still leads on scale, reporting $4.2 billion in 2025 revenue versus Cloudflare’s $2.17 billion and Fastly’s $624 million. But Cloudflare has pulled ahead on deployment, running the reverse proxy for roughly 84% of identifiable sites tracked by W3Techs, well ahead of both peers combined.
Valuation tells a different story than growth alone. Fastly trades at a forward price-to-sales ratio near 5.6x, while Cloudflare’s NTM EV to Revenues sits near 32x. That massive premium reflects belief in Cloudflare’s broader platform strategy across security, developer tools, and AI infrastructure.
Margins remain a work in progress across the group. Fastly posted a record 63.3% gross margin last quarter but still operates at a loss.
