What Happened?
Meta (META) introduced a new class of non-voting shares on Wednesday to help pay for its AI push.
Meta stock rose more than 4% in pre-market trading yesterday as the company also beat revenue estimates and guided above expectations for the fourth quarter.
The new Class C shares arrive in January 2027, and shareholders will get one new share for each share they own.
That works like a two-for-one split. Meta says the shares can fund acquisitions and keep top talent while CEO Mark Zuckerberg keeps control.
Spending is the reason behind the move, given that Meta is pouring money into chips and data centers.
Capital spending for 2026 is now expected at $135 billion to $145 billion, while free cash flow was negative $2.12 billion in Q3. A year ago, FCF was positive $10.63 billion.
Revenue came in at $64.6 billion, and analysts expected sales at $63.37 billion. Q4 revenue is guided to $73 billion to $76 billion.

Muse is the big story, given that more than 10 million people in the U.S. and Canada set up the AI product in a month and a half.
Zuckerberg said the goal is a network that grows more valuable as more people join. He added that Meta will try to make money from Muse “somewhat sooner” than usual because it costs more to run.
CFO Susan Li said AI businesses should add revenue in 2027 while Reality Labs losses should narrow to around $15 billion next year.

Investors are rewarding the story behind the spending.
Analyst Jesse Cohen said the market has moved from punishing Meta for spending to rewarding it for a compelling product. Meta stock is getting credit for Muse and its new AI models.
Legal risks remain, and a New Mexico judge ordered a $25 billion penalty on Wednesday.
Earnings per share were $3.83. Without a $9.89 billion settlement charge, it would have been $7.40. Meta also warned of more youth-related trials in the U.S.

Some companies are also limiting the agent’s access over security concerns.
So Meta stock offers strong growth, but also heavy spending and legal costs.
