What Happened?

Seagate Technology Holdings (STX) closed at $973.44 on August 14, up 5.65% on the day and more than 500% over the past year, and no company news drove it. There was no earnings release, no contract, no analyst bombshell. Seagate reported fiscal fourth-quarter results back on July 28, took an 8.5% hit that day, and has since climbed all the way back and past the print. The August 14 close was the highest since results, roughly 20% above where the stock sat a week earlier, helped by a broad bid across AI and storage names that week.

The stock has fully digested a strong quarter, shrugged off the sector wobble that knocked it down in early July, and kept rising largely on momentum. Buying here means paying about 70 times trailing earnings for a hard drive maker that the market spent a decade treating as a cyclical also-ran.

The Insiders Are Selling Into the Run

Seagate insiders have been consistent sellers into the stock’s recovery. CEO Dave Mosley sold about $14 million of stock on August 3, CFO Gianluca Romano sold roughly $11 million on August 7, and total insider selling has topped $100 million over three months. Every sale ran through a pre-arranged Rule 10b5-1 plan, which schedules trades in advance and weakens their value as a timing call. Insiders selling into a 500% run is not the same as insiders bailing.

What $973 Already Assumes

STX trades at roughly 70 times trailing earnings and about 27 times next-twelve-months earnings, up from a mid-teens forward multiple a year ago. The enterprise value sits near 20 times NTM EBITDA, versus roughly 11 times last summer. The business did not just grow into a higher price. The market re-rated how it values every dollar Seagate earns.

Fiscal 2026 revenue grew 34% to $12.2 billion, non-GAAP EPS more than doubled year over year, and free cash flow hit a record $3.1 billion. June-quarter revenue of $3.6 billion rose 48%, and non-GAAP gross margin reached 52.7%, the 13th straight quarter of expansion. So the buyer at $973 is not paying for a hope. The buyer is paying for the durability of results that have already arrived, and betting they will extend. The risk is that the best of the cycle is now visible in the rearview mirror.

Why the Multiple Is Not Cyclical Roulette

On the July 28 call, Mosley said the vast majority of nearline exabytes are now allocated into calendar 2028, with contracts defining product configuration and pricing across all of calendar 2027, and customers seeking to extend planning horizons through 2029. Seagate secures those orders “prior to initiating drive production.” A cyclical name at this valuation is dangerous because earnings can collapse without warning; here, much of 2027 and 2028 is already booked at fixed prices and volumes.

Seagate holds drive unit output roughly flat while packing more capacity into each drive through its HAMR-based Mozaic platform, which uses heat-assisted recording to store more data per disk. Romano noted that heads and media inside each drive grew 15% to 20% last year while unit counts stayed flat, which is how exabytes scale without a capital spending explosion and why incremental gross margins have run above 60%.

Against peers, the premium is real but not extreme. Western Digital, the closest comparable, trades near 25 times NTM earnings, NetApp around 23 times, and Dell about 26 times, versus Seagate’s 27 times. Seagate carries the top multiple of the group, which the market justifies on the highest margin structure and the most contracted visibility. On current data, the premium tracks the fundamentals rather than running well ahead of them, but it leaves no cushion for a stumble.

The two targets measure different things: this roughly $3,830 figure is a 4.9-year model output, while the Street’s roughly $1,116 mean is a 12-month price target, so the gap is horizon, not disagreement about the business. This is the mid-case, chosen because it reflects the model’s central assumptions rather than the more aggressive scenario that runs to 2035. Two revenue drivers carry it: nearline exabyte growth in the mid-20% range as data center customers absorb HAMR capacity under existing contracts, and continued price-per-exabyte gains as tight supply lets Seagate keep executing value-based pricing. The margin driver is the Mozaic transition itself, moving mix from 3-terabyte toward 4- and 5-terabyte-per-disk products, which lifts capacity per drive while unit output and capital intensity stay contained. That mix shift is what has carried gross margin through 13 straight quarters of expansion, most recently to 52.7%.

The primary risk is demand timing: if AI infrastructure spending plateaus before the contracted horizon extends further and supply catches up, a stock at 20 times EBITDA re-rates down fast. The upside is that visibility keeps extending into 2029, and physical AI adds a new leg of unstructured-data demand. The downside is that the current price already reflects the good news, so any crack in pricing discipline unwinds the multiple before earnings can grow into it.

Conclusion

The next real test is fiscal Q1 2027 earnings, which the company has reported in late October in prior years. Seagate guided to September-quarter revenue of around $4.1 billion and non-GAAP EPS of about $7.30, which would extend the sequential revenue and margin growth management promised. Good looks like both figures landing at or above guidance, with pricing still climbing. Bad looks like a sequential margin stall or any language about softening orders, which would tell a buyer at $973 that the easy part of this re-rating is over.
