Nebius Stock Drops As Massive Convertible Notes Offering Sparks Investor Dilution Fears

What Happened?

Nebius (NBIS) stock fell on Wednesday after the company announced plans to raise $4.50 billion through a private offering of convertible senior notes.

The deal is split into $2.75 billion of notes due 2030 and $1.75 billion due 2034, sold to qualified institutional buyers. When the news hit before market open, investors worried about future share dilution, and Nebius stock began sliding as people trimmed their positions.

The timing made the drop sting even more. Nebius stock had just surged roughly 39% over the prior week after blockbuster Q2 2026 results showed revenue of $582.3 million, a massive 454% jump from a year earlier, far beating Wall Street’s expectations.

DA Davidson had raised its price target to $250 from $175 but kept a Neutral rating, noting the stock was already trading above that new target. That’s an important detail.

It means Nebius stock had already run up a lot before this new capital raise even hit the tape, leaving less room for the market to shrug off dilution worries.

This isn’t the first time this has happened either. Nebius has a track record here. Back in March 2026, a similar convertible notes offering caused the stock to drop about 10% in a single session, also on dilution fears.

So today’s move follows a pattern investors have seen before.

The broader market offered little support.

The Nasdaq slipped 0.2%, and the S&P 500 was barely positive at +0.1%, meaning there was no real macro tailwind to soften the blow.

What the Market Is Telling Us About Nebius Stock

The pullback in Nebius stock is less about the company’s business and more about how investors always react to dilutive financing, especially right after a big rally.

The proceeds from this offering are earmarked for data center construction and GPU buildout, which supports the company’s long-term AI infrastructure growth plans.

But in the short term, the market is focused on the math of more shares potentially coming into circulation.

Not everyone is bearish, though.

BofA Securities kept its Buy rating and a $310 price target on Nebius stock, citing strong GPU pricing trends and steady demand from hyperscalers and AI labs as reasons to stay optimistic long term.

That split in analyst sentiment, some cautious on valuation, others bullish on fundamentals, is a good summary of where investors stand right now: cautious in the near term, but still watching the bigger AI infrastructure story closely.
