Lilly Goes Back to Gate Bioscience in a Deal Worth Up to $870 Million

Eli Lilly (LLY) stock traded at about $1,162 on Monday, October 5, after Gate Bioscience said it expanded its drug-discovery deal with Lilly in an agreement potentially worth more than $870 million. It’s Lilly’s second deal with the private biotech in about 15 months, after a July 2025 agreement worth up to $856 million.

What Lilly is buying

Gate builds oral small-molecule drugs, which it calls “molecular gates,” that eliminate disease-causing proteins existing medicines struggle to reach. The new deal adds one target, with an option for a second.

  • Gate leads discovery. Lilly handles late-stage preclinical and clinical work, manufacturing, and sales.
  • Lilly gets exclusive worldwide rights to products from the selected targets.
  • Gate receives an undisclosed upfront payment, research funding, milestones, and royalties.

That headline number is mostly conditional. Gate only collects the bulk of it if programs hit milestones.

Sizing the deal against Lilly’s R&D budget

Lilly spent $13.34 billion on R&D in 2025, nearly double the $6.93 billion it spent in 2021.

Even if every milestone paid out, the new Gate deal equals about 6.5% of a single year of that budget. Both Gate deals together come to roughly 13%. For a company guiding to $85 billion to $87 billion in 2026 revenue, this is a cheap option.

It also fits a pattern. Chief Scientific Officer Dan Skovronsky said on the Q2 earnings call that Lilly’s deal “pace and average deal size have also continued to increase.” And Lilly is already selling the case for pills: CFO Lucas Montarce called Foundayo a small molecule “that can be produced at scale.”

The catch with biobucks

Last Thursday showed the other side. Foghorn Therapeutics (FHTX) said it and Lilly would not extend a 2021 partnership originally valued at up to $1.6 billion, after the lead drug failed to show enough benefit in an early-stage trial. Foghorn shares fell more than 40% in premarket trading.

So treat the more-than-$870 million headline as conditional potential deal value, rather than guaranteed payments. The first marker to watch is whether Lilly exercises its option on the second target, which triggers another payment to Gate.
