What Happened?
Herbalife (HLF) stock took a steep hit after the company announced that CEO Stephan Gratziani will step down, effective October 31, 2026.
He’ll move into a consultant role focused on strategy and business development, while shifting his main attention back to his own distributorship, which includes nearly 700,000 distributors and preferred members.
CFO John DeSimone will step in as Interim CEO starting November 1, 2026. The board has formed a committee to manage the search for a permanent successor.
DeSimone has been with Herbalife for nearly 20 years, previously serving as President, Chief Strategy Officer, and Special Advisor to the CEO.
Gratziani joined Herbalife in August 2023 as Chief Strategy Officer, when the company was working through 12 straight quarters of declining sales. Since then, the business has turned things around.
“With the business now having returned to growth and a strong foundation in place, this is the right time for the company to enter its next phase,” Gratziani said.

Despite the leadership shakeup, Herbalife reaffirmed its guidance.
The company still expects Q3 and full-year 2026 net sales growth on both a reported and constant currency basis.
Adjusted EBITDA guidance also stayed the same, with a Q3 range of $160 million to $180 million and a full-year range of $670 million to $690 million. DeSimone said the outlook “remains firmly on track.”

What the Market Is Telling Us About Herbalife Stock
A near 13% drop for Herbalife stock shows investors are unsettled by the sudden change at the top, even though the underlying numbers haven’t shifted.
Herbalife just wrapped up its Q2 with net sales of $1.3 billion, up 5.4% year-over-year and its fourth straight quarter of growth. North America returned to positive territory as well, growing 0.2%, its second quarterly gain in the last four.
Adjusted EBITDA for Q2 came in at $167 million, near the top of guidance. The company also reported a free cash flow yield of just over 23% on a trailing 12-month basis, showing how much cash the business generates relative to its size.
Still, leadership uncertainty tends to spook the market, especially when a CEO tied closely to a turnaround steps away.
Gratziani had been credited with helping steer Herbalife back to growth after a difficult stretch, and now that stability is in question during a transition period.

For investors watching Herbalife stock, the key question is whether DeSimone can keep momentum going as interim CEO while the board searches for a long-term leader.
The company’s guidance suggests management doesn’t expect the business itself to slow down.
