Key Takeaways

  • Cipher Digital closed at $7.94 on October 23, down 30% from its October 13 close, the day before it priced $850 million of zero-coupon convertible notes.
  • The notes convert at about $15.31, nearly double the current price, while a concurrent exchange issued roughly 40.7 million new shares right away.
  • Barber Lake now carries more than $9 billion of contracted revenue over 20 years, yet Cipher absorbs the first $359.3 million of cost overruns.
  • The November 2 Q3 report should show whether the first data halls remain on track to start paying rent in Q4 2026.

Cipher Digital (CIFR) has spent the past month proving it can sign long AI leases. Now the market wants to know who pays for the concrete.

Shares closed at $7.94 on October 23, barely above a 52-week low of $7.90. That is a 30% slide from the $11.34 close on October 13, the day before Cipher priced $850 million of zero-coupon convertible notes.

The timing stings. Three weeks earlier, Cipher stretched its Barber Lake lease to 20 years and lifted contracted revenue at the site above $9 billion.

So the stock now trades about 48% below the $15.31 conversion price on the very notes funding that buildout. (Convertible buyers, apparently, are more optimistic than equity holders.)

Zero coupon, real dilution

The notes priced on October 14 and settled two days later. Three terms matter most:

  • $850 million of notes paying no interest and maturing November 1, 2032, plus a 13-day option for $150 million more
  • An initial conversion price of about $15.31, a 35% premium to the October 13 close
  • About $89.7 million of proceeds set aside for capped calls to soften dilution

The concurrent exchange hits faster. Cipher swapped about $165.9 million of its 1.75% notes due 2030 for roughly 40.7 million common shares, and those shares arrive immediately.

Against roughly 415 million shares outstanding, that is close to a tenth of the company. Most of the remaining cash funds an additional equity investment in Barber Lake, while the rest goes to the HPC development pipeline.

Dilution is a habit here, though.

Diluted shares rose about 75% between 2021 and 2025, and this exchange keeps the line climbing.

Barber Lake buys a second decade

Barber Lake is the reason anyone owns this stock. Fluidstack’s amended lease runs 10 years, and an unnamed AI lab committed to a separate 10-year lease that follows on substantially similar terms.

That second term adds about $5.2 billion. Alphabet (GOOGL) backstops Fluidstack’s obligations, so the first decade carries real credit support.

CEO Tyler Page said the extension “reflects the enduring value of the infrastructure we’re building.” Some holders questioned locking in rent that starts a decade from now. Page pushed back on X, arguing Cipher had never seen demand that far out at such rates.

Data halls arrive in phases from Q4 2026 through Q1 2027, and first rent is expected in Q4 2026. Until then, the income statement looks rough. Q2 revenue fell 43% to $24.8 million as mining wound down, and the net loss widened to $267.5 million.

Consensus implies about 95% annual revenue growth over the next two years. That only works if every hall hands over on time.

Equity absorbs every overrun

Cost is the harder part. Cipher bears the first $359.3 million above the original Barber Lake budget, and the tenant reimburses half of anything beyond that through extra rent over 20 years.

Estimated project costs have already risen about 36% to 38%, to nearly $3 billion. Meanwhile, net debt sits near $4.75 billion against a $3.3 billion market cap.

That structure makes the stock expensive in a hurry. Cipher trades at 14.4x forward EV/Sales, against 3.9x for CoreWeave (CRWV) and 6.4x for Nebius (NBIS), both of which already run at scale.

Here is the debt load the equity sits behind…

Cipher Digital (CIFR): net debt, quarterly, $ billions, Q2 2025–Q2 2026 (TIKR)

Net debt now exceeds the entire equity value, so small delays carry outsized consequences for shareholders.

My take: Barber Lake is a high-quality contract with a creditworthy backstop and a 20-year tail. But shareholders absorb every overrun, and the convertible math shows how far confidence has fallen. The Street target of $29.36 assumes near-perfect execution, so I would wait for rent checks before paying for the backlog.

The next checkpoint is Q3 results on November 2. Watch for confirmation that the first halls remain on schedule, any new cost estimate, and whether buyers exercised the $150 million option.
